You may edit purchased PMOEasy templates for permitted project, program, portfolio, PMO, change-management, governance or consulting work. You may create clean completed documents for internal or permitted client use.
You may not resell, publish, redistribute or upload blank PMOEasy templates, source files or bundle files to public repositories, template marketplaces, unrestricted shared drives or competing products.
Nothing in this licence excludes rights that cannot be excluded under Australian Consumer Law or other applicable consumer protection laws.
1. Parties
This licence is between Zed7 PTY LTD, ABN 85 168 176 403, trading as or publishing PMOEasy, and the Customer.
2. Key Definitions
Customer means the person or legal entity acquiring a licence to use the Licensed Materials, including any Authorised Users permitted under the applicable licence tier.
Authorised User means an individual user permitted to access and use the Licensed Materials under the applicable licence tier.
Licensed Materials means the PMOEasy templates, bundles, guides, examples, instructions, previews, supporting documentation, digital assets and related files expressly included in the purchased or accessed product.
Completed Artefact means a document, spreadsheet, presentation, report, register, plan, pack, dashboard or other project output created by adding project-specific content to the Licensed Materials.
Clean Completed Artefact means a Completed Artefact prepared for permitted business use without PMOEasy instructional notes, sample content, draft guidance, visible branding or attribution that would be inappropriate for internal stakeholders or client stakeholders.
Organisation means one legal entity. Subsidiaries, parent entities, affiliates, related bodies corporate and client organisations require separate licence coverage unless expressly included in the order or a written agreement.
White Labelling means presenting blank templates, reusable source files or Licensed Materials as the Customer's own reusable template product. It does not include creating Clean Completed Artefacts for permitted use.
3. Acceptance And Activation
By purchasing, downloading, installing, opening, copying or accessing the Licensed Materials, the Customer agrees to this licence.
Checkout should require an unticked pre-payment checkbox using wording substantially similar to:

The licence starts when PMOEasy confirms payment or grants access to the Licensed Materials, whichever occurs first. For complimentary, manually provisioned, beta, trial or review access, the licence starts when PMOEasy grants access.
4. Licence Tiers
The launch licence tiers are:

An Individual licence is based on one named user. Shared accounts are not permitted. A named user may be replaced when they leave the Customer's organisation or no longer need access, provided the licence is not used to rotate access to avoid the permitted user limit.
5. Licence Grant
Subject to payment, acceptance and compliance with this licence, PMOEasy grants the Customer a non-exclusive licence to download, copy and adapt the Licensed Materials for the use permitted by the applicable licence tier.
Unless the order or written agreement says otherwise, the licence is perpetual for the downloaded version of the Licensed Materials. Update and access entitlements are set out below.
6. Permitted Use
The Customer may:
- copy and edit the Licensed Materials for permitted use under the applicable licence tier;
- populate templates with project-specific information;
- remove instructional notes, sample content and visible PMOEasy branding from Completed Artefacts where reasonably required to create clean internal or client-facing project documents;
- share Completed Artefacts with stakeholders who reasonably need them for the permitted work;
- export Completed Artefacts to PDF or another operational format;
- store Completed Artefacts in the Customer's document repository;
- allow Authorised Users to access the Licensed Materials within the applicable user and organisation limits.
Consultants may deliver Completed Artefacts to clients as part of a professional engagement, provided they do not provide the underlying blank templates, editable PMOEasy source files or reusable PMOEasy template library to the client unless the client has its own licence or PMOEasy has agreed in writing.
7. Restrictions
Unless expressly permitted in writing, the Customer must not:
- resell, sublicense, publish, distribute or redistribute blank Licensed Materials;
- upload blank Licensed Materials to public repositories, template marketplaces, unrestricted shared drives or public AI datasets;
- claim ownership of PMOEasy's template design, layout, wording, examples, bundle guides, metadata or supporting content;
- remove PMOEasy notices, licence text, purchase identifiers or embedded metadata from blank templates, reusable source files or original Licensed Materials except where necessary to produce Clean Completed Artefacts for permitted use;
- use the Licensed Materials to create a competing template product, marketplace, library, training product, courseware library, AI knowledge base, SaaS feature or other commercial substitute;
- sell modified versions of the templates as templates;
- use PMOEasy branding in a way that implies endorsement, partnership, certification or sponsorship;
- bypass reasonable technical or administrative protection measures, access controls, download controls, purchase identifiers or digital watermarking.
PMOEasy may implement reasonable technical or administrative measures, including purchase identifiers, invisible metadata, visible or invisible watermarks, download identifiers or other anti-piracy markers, for intellectual property protection, support tracing and licence compliance. These measures should not unreasonably interfere with permitted use or the creation of Clean Completed Artefacts.
8. Intellectual Property
PMOEasy retains all intellectual property rights in the Licensed Materials, including copyright, trade marks, branding, template layout, structure, examples, supporting documentation, bundle guides, digital assets, metadata, derivative works and PMOEasy names, logos and marks.
The Customer owns its project-specific data and Completed Artefacts, subject to PMOEasy's rights in the underlying Licensed Materials.
No ownership rights are transferred to the Customer except for the limited licence expressly granted in this document.
9. Clean Completed Artefacts And White Labelling
Creating Clean Completed Artefacts is permitted. This is a core purpose of the licence.
White Labelling of blank templates, reusable source files or Licensed Materials is not permitted by default. PMOEasy may allow White Labelling under a written agreement.
White Labelling never permits resale of PMOEasy templates as standalone templates or creation of a competing template library unless PMOEasy expressly agrees in writing.
10. AI Use
The Customer may use private or internal business AI tools to assist with editing, summarising or adapting the Licensed Materials for the Customer's permitted use.
The Customer must not use the Licensed Materials to train, fine-tune or improve a public, commercial or externally available foundation model, template marketplace, AI product, SaaS product or competing knowledge base without PMOEasy's written permission.
The Customer is responsible for checking the privacy, confidentiality, security and retention settings of any AI system into which it uploads Licensed Materials or Completed Artefacts.
11. Updates And Access
A one-off template or bundle purchase includes the version downloaded at the time of purchase and access to any minor updates PMOEasy makes available for that product during the 12 months following purchase.
The 12-month commercial minor-update entitlement does not limit, shorten or negate any non-excludable rights, guarantees or remedies available under Australian Consumer Law or other applicable consumer protection laws.
During the 12-month minor-update entitlement window, PMOEasy should maintain technical access to the purchased files and any minor updates made available for the purchased product, subject to reasonable security, support, misuse, payment-dispute and operational controls.
After that 12-month access period, a historical purchase does not guarantee that the same downloadable file, download link or public product listing will remain hosted or available indefinitely. Customers should download and safely store purchased files promptly after purchase.
PMOEasy may replace a supplied downloadable file with an equal-or-better version at any time. This does not oblige PMOEasy to provide major upgrades, new templates, new bundles, new product lines, subscription products, AI products, SaaS functionality or future versions unless expressly stated.
12. Product Availability And Incorrect Listings
PMOEasy may update, replace, modify or commercially retire products, previews, bundles or support materials over time.
If a product is mistakenly listed with an obvious or manifest pricing error, description discrepancy, incorrect file, incorrect licence tier or other material listing error, PMOEasy may cancel or reverse the transaction before fulfilment, or after purchase where permitted by law.
If PMOEasy cancels or reverses a fulfilled transaction for this reason, PMOEasy should provide a full refund to the Customer's original payment method where practicable or another appropriate remedy required by law. Once that refund or remedy has been successfully processed, the Customer's licence for the affected incorrectly supplied Licensed Materials terminates and the Customer must stop using and delete those incorrectly supplied materials unless PMOEasy confirms otherwise in writing.
13. Consumer Guarantees And Refunds
Our goods and services come with guarantees that cannot be excluded under Australian Consumer Law. For major failures, Customers may be entitled to a refund, replacement, cancellation, compensation or another remedy required by law. For failures that are not major failures, Customers may be entitled to have the failure rectified within a reasonable time or to receive another remedy required by law.
Nothing in this licence excludes, restricts or modifies rights, guarantees or remedies that cannot be excluded under applicable law.
Refund handling is set out in the PMOEasy Refund Policy.
14. Liability
Subject always to the Customer's non-excludable statutory rights under Australian Consumer Law and other applicable laws, PMOEasy is not liable for project outcomes, governance decisions, corporate approvals, business cases, commercial implementation results, stakeholder decisions, financial losses, regulatory non-compliance or other consequences caused by how a Customer adapts, tailors or applies the Licensed Materials to real-world environments.
Except as expressly required by non-excludable consumer protections or where liability cannot be capped by law, PMOEasy's maximum aggregate liability for minor technical non-conformities, contractual breaches or other claims is limited to the actual amount paid by the Customer for the specific product item giving rise to the dispute.
Each party must take reasonable and proportionate steps to mitigate any commercial loss, data loss or other loss where an actionable problem occurs.
15. Data And Third-Party Services
For downloadable templates, PMOEasy does not receive the Customer's completed project content unless the Customer separately uploads or provides it to PMOEasy.
The Customer is responsible for removing confidential, personal, regulated or sensitive information before sending Completed Artefacts to PMOEasy support.
PMOEasy may use third-party services for payment processing, tax calculation, storage, email, analytics, support, hosting, downloads or interactive or AI-integrated functionality. The Customer's use of those services may be subject to additional third-party terms, privacy notices, security settings or technical limitations.
16. Transfers And Assignment
The Customer must not transfer, assign or share its licence except as permitted in this section or with PMOEasy's written consent.
If the Customer sells its business, transfers the relevant business unit, or completes a genuine merger, acquisition or restructure where the Licensed Materials continue to be used for the same business purpose, the licence may transfer to the successor entity without a new licence fee, provided the successor accepts this licence and continues to comply with the same tier, user, organisation, redistribution and confidentiality limits.
PMOEasy may assign or transfer its rights and obligations under this licence as part of a business sale, restructure, merger, acquisition or transfer of the PMOEasy product, provided doing so does not remove non-excludable rights available to the Customer under applicable law.
17. Licence Confirmation
For Organisation and Enterprise licences, PMOEasy may reasonably request written confirmation that the Customer is complying with the applicable user, organisation and redistribution limits.
Any confirmation request should be proportionate and should not require intrusive access to the Customer's confidential project files.
PMOEasy does not run routine licence-confirmation processes for Individual licences, but may investigate suspected misuse, redistribution, resale, public sharing or other material licence breaches.
18. Beta, Trial And Review Products
PMOEasy may provide beta, trial, pre-release or review-pack products. These may be incomplete, contain errors, change before release or be withdrawn.
Unless PMOEasy expressly states otherwise, beta, trial, pre-release and review-pack products are provided for evaluation and feedback, and are not approved final marketplace products.
Structured customer beta programs, reviewer panels, customer interviews, unpublished bundle testing, customer feedback programs or any review process involving customer-uploaded artefacts may require separate beta, reviewer, confidentiality, data-handling or written agreement terms.
19. Governing Law
This licence is governed by the laws of New South Wales, Australia, subject to any non-excludable rights available under applicable consumer protection laws.
20. General
If any part of this licence is invalid, unlawful or unenforceable, the remaining parts continue to apply to the extent permitted by law.
This licence, the order, the product page and any written enterprise agreement form the entire agreement for the Licensed Materials, subject to non-excludable rights under applicable law.
A failure or delay by PMOEasy in enforcing a right does not waive that right.
Any clause that by its nature should continue after termination, expiry or completion of the licence continues to apply.
Nothing in this licence creates a partnership, joint venture, employment, agency or fiduciary relationship between PMOEasy and the Customer.
PMOEasy is not responsible for delay or failure caused by events beyond its reasonable control, subject to any non-excludable rights or remedies available to the Customer.
